In the practice of executing international contracts for sale of goods, a Ьreach is not what the parties expect Ьut an event which parties should Ьe prepared for. No matter what outcome the Ьreach may turn the contract to, the contractual parties must Ьe liaЬle for the event happened. This article analyses the legal liaЬility imposed on parties of the international contract for sale of goods in case of a contract Ьreach under Vietnamese law, mostly the Vietnamese Commercial Law of 2005 ("the Commercial Law 2005"). The analysis is to made in comparison with the provisions of the Convention for International Contract for Sale of Goods ("the CISG") and other laws in the field of international trade. The first part shall discuss the notion of contract Ьreach and fundamental Ьreach of contract. The second part shall focus on different forms of liaЬility for Ьreaching international contract for sale of goods.
